1.0 Introduction

Welcome to NextBrightPath ("the Online Platform"), owned and operated by Next Bright Path ("the Company"). The Platform serves as a facilitator, enabling Trainers (including but not limited to trainers, teachers, coaches, and experts, collectively referred to as "Trainers" or "Service Providers") to offer and promote their educational programs while allowing Students (including but not limited to students, trainees, and learners, collectively referred to as "Students" or "Users") to enroll and participate in these programs.

By accessing or using the Platform, you agree to comply with these Terms and Conditions. Please read them carefully.

1.1 Nature of Services

NextBrightPath provides a technology platform that assists Trainers in setting up, showcasing, and managing their educational programs. This includes course listing, program visibility, student enrollment facilitation, and payment processing. NextBrightPath does not create, manage, or own any course content.

Trainers are solely responsible for the content, quality, and delivery of their courses. Students enroll in courses directly provided by Trainers, and NextBrightPath does not oversee course execution.

1.2 Platform as a Facilitator

NextBrightPath is a neutral intermediary that provides a platform and marketing support to Trainers. It is not responsible for the content, accuracy, compliance, or quality of any course.

Trainers operate independently and set their own course and engagement. Students are responsible for reviewing course details before enrollment.

1.3 No Guarantees or Endorsements

NextBrightPath does not:

• Guarantee the quality, accuracy, or effectiveness of any course.
• Ensure that Students will complete courses or achieve any specific outcome.
• Endorse any Trainer, their qualifications, or the course material provided.

2.0 Roles and Responsibilities

2.1 Platform Responsibilities

NextBrightPath’s role is limited to:

• Providing an online platform for Trainers to showcase and deliver courses.
• Offering limited promotional services to help Trainers reach potential Students.
• Facilitating student enrollment and payment processing for courses.

NextBrightPath does not:

• Create, verify, or manage course content.
• Supervise Trainer activities, teaching quality, or student interactions.
• Guarantee student enrollments, payments, or course completion.

2.2 Trainer Responsibilities

Trainers are entirely responsible for:

• Creating, managing, and delivering their courses.
• Ensuring that course content is original, lawful, and meets ethical standards.
• Handling all student interactions, disputes, and complaints regarding their programs.
• Complying with all applicable laws, industry standards, and data privacy regulations.

2.3 Student Responsibilities

Students must:

• Review course descriptions carefully before enrolling.
• Comply with NextBrightPath’s Terms and any Trainer-specific policies.
• Acknowledge that NextBrightPath is not responsible for course content or delivery.

3.0 No Relationship Between NextBrightPath, Trainers, and Students

NextBrightPath is solely a facilitator and does not establish any employment, partnership, or agency relationship with Trainers or Students.

Trainers operate independently and are fully responsible for their course content, engagement, and service quality. NextBrightPath is not liable for any Trainer actions, commitments, or service failures. Students enroll at their own discretion and assume responsibility for their learning experience.

4.0 Ownership and Licensing

4.1 Course Content Ownership

Trainers retain full ownership of their course materials and intellectual property. NextBrightPath does not claim ownership over any course content.

4.2 License to Use Course Content

By listing courses on NextBrightPath, Trainers grant the Platform a limited, non-exclusive, royalty-free license to:

• Display course content for listing and promotional purposes.
• Use course descriptions, images, and materials in marketing efforts.

This license remains valid while the course is listed on the Platform and terminates upon content removal by the Trainer.

5.0 Platform Fees 

5.1 Fees Charged to Trainers

NextBrightPath charges Trainers for:

• Platform usage, including course hosting, enrollment management, and visibility services.
• Marketing services to promote courses to potential Students.

5.2 Payment Processing

NextBrightPath facilitates payment collection from Students on behalf of Trainers. Payments received from Students are processed through the Platform and disbursed to Trainers based on the applicable policies. Trainers are responsible for ensuring their pricing, refund policies, and payment terms are clearly communicated to Students.

5.3 Revenue and Financial Responsibilities

NextBrightPath does not guarantee Trainer revenue or student enrollments. Payments to Trainers are subject to successful course completion, refund policies, and dispute resolutions as applicable.

All financial transactions are processed securely, and NextBrightPath’s service fees are non-refundable unless explicitly stated otherwise.

6.0 Liability Disclaimer

6.1 Limited Role

NextBrightPath does not:

• Guarantee the accuracy, reliability, or completeness of the course content provided by Trainers.
• Mediate or resolve disputes between Trainers and Students, except where required by law or explicitly agreed upon.

6.2 Limitation of Liability

To the fullest extent permitted by law, NextBrightPath disclaims any liability for:

• Losses or damages resulting from the use or inability to use the Platform or its services.
• Any disputes, claims, or issues arising between Trainers and Students.

6.3 Indemnity

Trainers and Students agree to indemnify and hold NextBrightPath harmless from any claims, damages, or losses resulting from their actions or use of the Platform.

7.0 Intellectual Property

7.1 Platform Ownership

NextBrightPath, including its name, logo, and proprietary technology, is the exclusive property of NextBrightPath LLC. Unauthorized use is strictly prohibited.

7.2 Content Misuse

Trainers and Students are prohibited from copying, redistributing, or misusing course content without explicit permission from the content owner.

8.0 Cancellation and Refund Policy

The following cancellation and refund policy is mutually agreed upon by both Students and Trainers using the NextBrightPath platform.

8.1 Refunds

Students are eligible for refunds based on the following criteria:

• 100% refund if the cancellation request is made at least three (3) weeks before the course start date.
• 50% refund if the cancellation request is made at least one (1) week before the course start date.
• No refunds will be issued for cancellations made within a week of the course start date.

Refund requests must be submitted through the NextBrightPath platform. Processing times for refunds may vary based on the payment method.

8.2 Cancellations by Students

Students may cancel their enrollment in accordance with this refund policy, which has been agreed upon by both Students and Trainers. Refunds will be processed as per the specified timelines.

8.3 Cancellations by Trainers

If a Trainer cancels a course, they are responsible for either issuing refunds or providing alternative solutions to affected Students. This responsibility is acknowledged as part of their agreement with the NextBrightPath platform.

9.0 Student Code of Conduct & Behavior

Our mission is to provide a productive and respectful learning environment for all students. By enrolling in courses offered by Trainers, you agree to abide by this Student Code of Conduct. Violations of these guidelines may result in penalties, including cancellation of enrollment without a refund and barring from future courses.

9.1 Respect and Professionalism

• Harassment, bullying, or discrimination in any form (including race, gender, religion, nationality, disability, or sexual orientation) is strictly prohibited.
• Treat instructors, fellow students, and support staff with respect and professionalism.
• Disruptive, offensive, or disrespectful behavior will not be tolerated.

9.2 Academic Integrity

• All work submitted must be your own. Plagiarism, cheating, or any form of academic dishonesty will result in immediate penalties.
• Follow all platform guidelines, including those related to communication, privacy, and course participation.
• Unauthorized use of the platform for personal or commercial gain is not permitted.

9.3 Attendance and Participation

• Any attempts to manipulate the platform, including hacking, fraud, or abuse, will result in immediate termination of access.
• Regular participation in coursework and adherence to deadlines is expected.
• Excessive absences or non-participation may result in removal from the course without a refund.
• Instructors reserve the right to set participation requirements for each course.

9.4 Legal and Ethical Conduct

• All work submitted must be your own. Plagiarism, cheating, or any form of academic dishonesty will result in immediate penalties.
• Follow all platform guidelines, including those related to communication, privacy, and course participation.
• Unauthorized use of the platform for personal or commercial gain is not permitted.

9.5 Penalties for Violations
Any violation of this Code of Conduct may result in one or more of the following penalties, at the sole discretion of NextBrightPath:

• Warning: A formal notice regarding the violation.
• Temporary Suspension: Restricted access to the platform for a defined period.
• Enrollment Cancellation: Termination of the student’s current course(s) without a refund.
• Permanent Ban: Prohibition from enrolling in any future courses on NextBrightPath.
• Legal Action: In cases of illegal activities, legal action may be pursued.

9.6 Appeals Process
Students who believe they have been wrongfully penalized may submit a written appeal within seven (7) days of the penalty notice. Appeals will be reviewed by the trainers, and a final decision will be communicated within fourteen (14) days. Decisions on appeals are final.

Violations of these guidelines may result in penalties, including suspension or removal from the platform.

10.1 Respect and Professionalism

• Trainers must treat all students, platform staff, and other trainers with respect and professionalism.
• Harassment, bullying, or discrimination in any form (including race, gender, religion, nationality, disability, or sexual orientation) is strictly prohibited.
• Trainers must maintain a positive, constructive, and professional tone in all communications. Disruptive or offensive behavior will not be tolerated.

10.2 Academic Integrity

• Trainers are expected to provide original and authentic course content that upholds the highest standards of academic integrity.
• Plagiarism, content theft, or any form of academic dishonesty, including falsifying credentials or course materials, is strictly prohibited.
• Trainers must ensure that their courses follow all platform guidelines, including those related to privacy, security, and communication.

10.3 Legal and Ethical Conduct

• Trainers must comply with all applicable laws, including intellectual property rights, data privacy laws, and industry standards.
• Unauthorized use of the platform for personal or commercial gain is not permitted.
• Trainers are responsible for adhering to ethical standards and transparency in their interactions with students, including the clear communication of course terms, pricing, and expectations.

10.4 Attendance and Participation

• Trainers are expected to maintain consistent engagement with students and fulfill all responsibilities associated with course delivery, including responding to inquiries and providing timely feedback.
• Trainers must establish and uphold clear attendance and participation guidelines for their courses, and inform students of any attendance or engagement requirements.

10.5 Penalties for Violations
Violations of this Trainer Code of Conduct may result in one or more of the following penalties, at the sole discretion of NextBrightPath:

• Warning: A formal notice regarding the violation.
• Temporary Suspension: Restriction of course access for a defined period.
• Removal from the Platform: Termination of access to the platform, preventing further course offerings.
• Permanent Ban: Prohibition from accessing or offering any future courses on NextBrightPath.
• Legal Action: In cases of illegal activities or breach of law, legal action may be pursued.

10.6 Appeals Process
Trainers who believe they have been wrongfully penalized may submit a written appeal within seven (7) days of receiving the penalty notice. Appeals will be reviewed by NextBrightPath, and a final decision will be communicated within fourteen (14) days. Decisions on appeals are final.

11.0 Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the Commonwealth of Massachusetts. Disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA). Arbitration shall take place in Massachusetts, and the decision shall be final and binding.
